By accessing or using BatteryBee, you agree to these Terms and our Privacy Policy. If you create an account, you acknowledge that, as part of sign‑up, you agree to these Terms.
1. Overview and Acceptance
These Terms of Service (the “Terms”) govern your access to and use of the BatteryBee website, web application, APIs, and related services (collectively, the “Service”). “BatteryBee,” “we,” “our,” and “us” refer to the operator of the Service. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
If you register for an account, complete sign‑up, or continue to use the Service after we publish updates to these Terms, that constitutes acceptance. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization; “you” and “your” will refer to the organization.
2. Eligibility and Account
- You must be at least the age of majority in your jurisdiction and capable of forming a binding contract.
- You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
- You must provide accurate information and promptly update it as needed.
- We may suspend or terminate access for violations of these Terms or risk to the Service or other users.
3. License and Access Rights
Subject to these Terms, BatteryBee grants you a limited, revocable, non‑exclusive, non‑transferable license to access and use the Service for your internal purposes. We reserve all rights not expressly granted. You may not sublicense, resell, or otherwise exploit the Service except as expressly permitted in a separate written agreement with us.
4. Prohibited Conduct
- Reverse engineering, decompiling, or attempting to extract source code or underlying models.
- Interfering with or disrupting the Service, including by automated scraping without written permission.
- Infringing third‑party rights or violating applicable laws, regulations, or industry standards.
- Uploading malicious code or using the Service to generate unsafe or unlawful designs.
- Circumventing technical limitations, quotas, or access controls.
5. Safety and Engineering Disclaimers
BatteryBee is a design tool that produces estimates, calculations, and exportable geometry. It does not guarantee electrical, mechanical, thermal, regulatory, or manufacturing suitability of any design. Battery systems are inherently hazardous. You are solely responsible for validation, protective devices (e.g., BMS, fuses), testing, and compliance with all applicable standards and laws.
Outputs may contain inaccuracies or may be incomplete. You must independently verify all results before fabrication or use. By using the Service, you acknowledge these limitations and assume all risks arising from your designs and their implementation.
6. User Content and Data
You retain ownership of content you submit (e.g., outlines, parameters, projects). You grant BatteryBee a worldwide, royalty‑free license to host, process, display, and create derivative works of such content solely to provide, maintain, secure, and improve the Service. You represent that you have all rights necessary to grant this license and that your content does not violate law or third‑party rights.
7. Beta Features and Changes
Portions of the Service may be labeled Alpha, Beta, or Preview. Such features may be incomplete, change without notice, or be discontinued. We may modify the Service at any time, including adding or removing features, imposing or altering limits, or correcting errors.
8. Subscriptions, Fees, and Taxes
Access to certain features may require a paid subscription. Fees, billing cycles, and refunds (if any) are disclosed at checkout or in your plan. Unless stated otherwise, subscriptions auto‑renew until canceled. You authorize us or our processor to charge your payment method for applicable fees and taxes. You are responsible for any taxes, duties, or levies arising from your purchase, excluding taxes on our income.
9. Intellectual Property
BatteryBee and its licensors retain all rights, title, and interest in and to the Service, including software, documentation, designs, trademarks, and content, excluding your content. No rights are granted by implication.
10. Third‑Party Services
The Service may integrate with third‑party services (e.g., hosting, analytics, payment processors). Use of those services is subject to their terms and policies. We are not responsible for third‑party services and disclaim all liability for their acts or omissions.
11. Disclaimers of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS. BATTERYBEE AND ITS AFFILIATES, SUPPLIERS, AND LICENSORS DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON‑INFRINGEMENT, AND QUIET ENJOYMENT, AS WELL AS ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR‑FREE, SECURE, OR THAT DEFECTS WILL BE CORRECTED, OR THAT OUTPUTS WILL MEET YOUR REQUIREMENTS.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL BATTERYBEE OR ITS AFFILIATES, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, COVER, EXEMPLARY, ENHANCED, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
WITHOUT LIMITING THE FOREGOING, AND TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF BATTERYBEE AND ITS AFFILIATES, SUPPLIERS, AND LICENSORS FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID (IF ANY) FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY OR ONE HUNDRED U.S. DOLLARS (US$100), WHICHEVER IS GREATER. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES; IN SUCH CASES, THESE LIMITATIONS SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW.
13. Indemnification
You will indemnify, defend, and hold harmless BatteryBee and its officers, directors, employees, and agents from and against any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to (a) your content; (b) your use of the Service; (c) your violation of these Terms or applicable law; or (d) your designs or products built from the Service’s outputs.
14. Export, Sanctions, and Safety Laws
You represent that you are not located in a restricted jurisdiction and are not a prohibited party under applicable export, sanctions, or trade laws. You will comply with all export, import, and sanctions laws and will not use the Service for prohibited purposes.
15. Governing Law; Dispute Resolution
These Terms are governed by the laws of the State of Delaware, without regard to conflicts of law principles. Any dispute arising out of or relating to these Terms or the Service will be resolved by binding arbitration administered by JAMS under its applicable rules, on an individual basis. CLASS ACTIONS ARE WAIVED. Either party may seek injunctive relief in a court of competent jurisdiction to protect IP or confidential information. Venue for any permitted court proceedings will be the state or federal courts located in Delaware, and you consent to jurisdiction there.
16. Changes to Terms
We may update these Terms from time to time. We will indicate the effective date and version above. Your continued use after changes become effective constitutes acceptance. If you do not agree to changes, you must stop using the Service.
17. Termination
You may stop using the Service at any time. We may suspend or terminate access for any violation of these Terms, legal requirement, or if your use poses a risk to the Service or others. Upon termination, your right to access the Service ceases, but sections that by their nature should survive (including Sections 5, 7, 8, 9, 11–18) will remain in effect.
18. Miscellaneous
- Entire Agreement. These Terms constitute the entire agreement regarding the Service, superseding prior agreements.
- Assignment. You may not assign these Terms without our consent; we may assign without restriction.
- Severability. If any provision is found unenforceable, the remaining will remain in full force.
- Force Majeure. We are not responsible for delays or failures due to events beyond our reasonable control.
- Notices. We may provide notices via the Service, email, or posting updated Terms.
